On February 26, 2025, President of Ukraine Volodymyr Zelenskyy signed Law No. 4196-IX "On Peculiarities of Regulation of Business Activities of Certain Types of Legal Entities and Their Associations in the Transition Period". On February 27, the document was officially published in the Golos Ukrainy newspaper.
This Law provides for the abolition of the Commercial Code of Ukraine (CCU), which will come into force six months after its publication - on August 28, 2025. For the next three years, a transitional period will be in effect to adapt the legislation to the new conditions.
Main changes envisaged by the Law:
- Transition period for the adaptation of legislation and transformation of legal entities;
- Reform of municipal enterprises - during this time, state and municipal unitary enterprises should be transformed into joint-stock companies or limited liability companies;
- Expansion of the rights of territorial communities, which will be able to create legal entities;
- Preservation of the activities of municipal medical institutions already operating in communities;

How will this affect employers?
One of the key questions for business is what will happen to the staffing of enterprises? After all, Article 64 of the Commercial Code determined the ability of enterprises to independently form an organizational structure and approve staffing. At the same time, the Labor Code and other regulations do not contain the concept of staffing levels.
Does this mean that staffing levels will no longer be mandatory from 2025? At the moment, it is premature to make such conclusions. The staffing table existed before the introduction of the Commercial Code, and the already approved staffing tables for 2025 remain in force. A final clarification on this issue is expected from the State Labor Service."
