  • Joint-stock company (a.s.) - minimum authorized capital is 25,000 EUR. Suitable for large businesses and attracting investors.
  • Simplified joint-stock company (j.s.a.) - minimum authorized capital is 1 EUR. Suitable for startups.
  • General partnership (v.o.s.) - no minimum authorized capital is required. Profits are distributed among the partners and taxed at the level of the participants. Part of the profit is taxed at the level of partners, part - at the level of the company.
  • Cooperative (Družstvo) - minimum authorized capital is 1250 EUR. It is used for joint business activities of several participants.
  • Individual entrepreneur (Živnos) - there are no requirements for the authorized capital. The sole proprietor pays taxes personally.

General Information

Registration Features

In order to legally conduct business, a Slovak company must obtain a license from the Trade Licensing Office at the place of registration of the company.

Company Name

The name of the company must contain the designation of its legal form at the end, e.g. "s.r.o.", "v.o.s.", "k.s.", "a.s.", etc.

Authorized Capital

The minimum authorized capital for a s.r.o. company is EUR 5,000. There is a payment requirement.

If the company has several shareholders, the minimum contribution per shareholder is 750 EUR.

Director

Individual, no residency requirements.

For a non-resident director, it is recommended to obtain a residence permit in Slovakia or register a company with a citizen of Slovakia or another EU country as the general director.

Shareholders

Individual, no residency requirements for shareholders. 100% foreign ownership of a Slovak company is possible.

Financial Reporting

All Slovak companies are required to keep accounting records and submit annual reports to the tax authorities. Under certain conditions, an audit of the business becomes mandatory (for example, annual turnover of more than EUR 2 million, assets worth more than EUR 1 million). Choosing the name and form of the company

First of all, you need to decide on the form of the company and check the name in the Trade Register database for availability for use. Choosing the name of an already registered legal entity is the basis for refusal to register a company in Slovakia. The most common form for registering a company in Slovakia for Ukrainians is s.r.o., an analog of LLC.

Preparation and collection of documents

Each participant of the company (director, shareholder, ultimate beneficiary) is obliged to provide a passport, a document confirming the address of residence and a certificate of no criminal record issued in the country of citizenship. For a non-resident director, it is advisable to obtain a residence permit in Slovakia in advance.

Identification of company participants

It is possible to open a company in Slovakia without a personal visit of the director and shareholders. For this purpose, a notarized power of attorney is issued for registration activities. Such a power of attorney, together with the original notarized documents of all company members, is sent by courier to Slovakia. Then all the documents are translated into Slovak by a court translator and a set of documents for registration of the s.r.o. is formed through the Trade Register.

Formation of the share capital (if necessary)

To register a company in Slovakia, the authorized capital must be deposited to a special temporary account of a Slovak company in a local bank. A shareholder's contribution to a s.r.o. company can also be non-capital, such as real estate, a patent, a trademark, etc.

Company registration

The actual period for registering a legal entity in Slovakia in the Commercial Register is 2-4 business days. All Slovak companies have the right to start business activities from the date of registration in the Commercial Register.

After the company registration is completed and the documents from the Commercial Register are received, the Slovak company must be registered with the tax office to obtain a tax identification number (DIČ).

Opening a sole proprietorship in Slovakia is the registration of an individual's business activity without creating a separate legal entity. A sole proprietorship (živnosť) runs a business on its own behalf and is liable with all its assets. The application for registration of a sole proprietorship can be submitted to the district office in person or electronically through the state portal Slovensko.sk.
