General Information

Registration Features

A person who is already the sole founder of one SRL cannot act as the sole partner of another SRL. This rule is aimed at avoiding concentration of business in the hands of one founder through several companies.

Company Name

To register a company, you must submit at least three name options in writing, arranged in order of priority. The final choice and approval of one of them is made by the Commercial and Industrial Register.

Authorized Capital

The minimum authorized capital must be 200 Romanian lei (RON), approximately 40 euros.

Director

An individual, can be a non-resident.

Shareholders

The founders can be both individuals and legal entities, and can be foreigners. The maximum number of founders (individuals or legal entities) should not exceed 50 people.

Financial Reporting

All companies in Romania are obliged to submit an annual financial report to the Commercial and Industrial Register and the tax authorities. The deadline for submitting the report is May 30 of the year following the reporting period. Quarterly reports: Depending on the size of the company and the type of activity, it may be necessary to submit quarterly financial reports. 2. If a company is a corporate tax payer, it is required to file declarations on a quarterly or annual basis (depending on the size and turnover of the company). VAT returns are filed monthly or quarterly, depending on the company's turnover in Romania.

Taxation

- If the annual turnover does not exceed 500,000 euros and the company has at least one full-time employee, the income tax is 1% of the turnover. -If there is no full-time employee, the tax increases and the company must pay a 16% income tax. - If the annual turnover exceeds 500,000 euros, the company in Romania switches to a rate of 16% of net profit. - The standard VAT rate is 19%. - Companies automatically become VAT payers if their annual turnover exceeds EUR 60,000. Dividends are taxed at 8%.
