Registration Features

All founders must obtain a tax number (NIF (Número de Identificação Fiscal) from the Portuguese tax office.

Company Name

The name must be unique and comply with Portuguese requirements.

Authorized Capital

Minimum authorized capital: 1 euro for each shareholder. This means that a company can be registered even with a minimum capital (e.g., 2 euros for two shareholders). The authorized capital does not have to be paid immediately, but it must be paid before the company starts operating.

Director

Any person over the age of 18 can become a director, regardless of nationality.

Shareholders

For an LDA (Limited Liability Company), there can be one or more shareholders. If there is only one shareholder, it is called a Sociedade Unipessoal LDA. For SA (Joint Stock Company), the minimum number of shareholders is 5.

Financial Reporting

Annual financial statements are due by May 31 of the year following the close of the fiscal year. VAT reporting - quarterly. If the company's turnover exceeds €650,000, VAT returns are submitted monthly.
