Paraguay is a country in South America that borders Brazil, Argentina, and Bolivia. This jurisdiction has become a top choice for entrepreneurs who plan to carry out investment projects, develop a business in South America, and build international trade.
Paraguay's membership in MERCOSUR opens up opportunities for regional trade and production cooperation for businesses, which is why, for foreign entrepreneurs, company registration in Paraguay becomes a base for export and import operations, manufacturing, and investment.
For non-residents of Paraguay, one of the available forms of doing business is the EAS (Empresa por Acciones Simplificadas). This type of company is an analogue of an LLC, with no minimum share capital requirement and a simplified online registration procedure. This form of Paraguayan company allows you to organize commercial activity or provide services and suits businesses of various sizes. The combination of a base corporate income tax rate of 10% and the possibility of full foreign ownership makes a company in Paraguay attractive to non-residents.
A foreign entrepreneur can open a company in Paraguay and be its sole shareholder with 100% ownership. There is no need to involve a local co-owner or obtain a residence permit merely to hold shares. The EAS registration procedure is carried out online through the state platform of the Ministry of Industry and Commerce of Paraguay. If the founder is abroad, the necessary registration actions are performed through a local representative (Representante Legal) who holds Paraguayan citizenship or a Paraguayan identity card, the Cédula.
An important advantage of registering a company in Paraguay is the base corporate income tax (IRE) rate of 10%. The standard VAT rate, which is called IVA in Paraguay, is also 10%, and 5% for certain transactions defined by law. When profits are distributed, a dividend tax is also taken into account: 15% for non-resident recipients and 8% for residents of Paraguay. Paraguay applies a territorial approach to taxation, so for international businesses it is important to correctly determine the source of income, the nature of operations, and the place where the activity is carried out or the service is provided.
Opening a company in Paraguay can be considered for the following types of activity:
IT and digital business;
international services and consulting;

Obtaining a local identity card (Cédula), which certifies identity and is used for local administrative and financial procedures.

A non-resident can open a company in Paraguay remotely on the basis of a power of attorney for a local representative (Representante Legal). To do this, we need you to provide high-quality scans of the beneficiary's passport and a document confirming their residential address. The power of attorney, drawn up from our template, must also be notarized and legalized (Apostille).
Since Paraguay sets no minimum share capital for a company, the capital is determined by the company's activity and the needs of the specific business.
The documents for registering an EAS are submitted online through the SUACE system of Paraguay's Ministry of Industry and Commerce. The local representative carries out the actual registration process on the basis of the power of attorney, without the shareholder being present in Paraguay. Once registration is complete, tax registration follows, that is, the company is issued a tax number (RUC).
