A Panama company must have 3 directors and a secretary. One of the directors can be the secretary at the same time.

Company Name

The name of the company must end with a word, phrase or abbreviation that indicates the form of the company: "S.A.", "Corporation", "Corp.", "Incorporated", "Inc.".

Authorized Capital

The standard authorized capital of an offshore company in Panama is USD 50,000. There are no payment requirements.

Director

The minimum number of directors is 3. The director can be individual or legal entity. There are no requirements for director residency. It is allowed to use the services of a nominee director.

Shareholders

At least one, can be individual or a legal entity. There are no requirements for shareholder residency.

Financial Reporting

Offshore companies in Panama are not required to submit financial statements. There is a requirement to maintain and keep accounting records for the last 5 years.

Taxation

Panamanian companies operating outside of Panama are exempt from taxation.
