A Panama company must have 3 directors and a secretary. One of the directors can be the secretary at the same time.

Company Name

The name of the company must end with a word or abbreviation that indicates its organizational form, for example: “S.A.”, ‘Corporation’, ‘Corp.’, ‘Incorporated’, or ‘Inc.’.

Authorized Capital

The standard authorized capital of an offshore company in Panama is USD 50,000. There are no payment requirements.

Director

The required minimum number of directors is three. Both individuals and legal entities can be directors, without any residency requirements. Nominee directors may also be appointed.

Shareholders

A shareholder can be at least one person, regardless of whether it is an individual or a legal entity. There are no residency requirements for shareholders.

Financial Reporting

Offshore companies in Panama are not required to submit financial statements. There is a requirement to maintain and keep accounting records for the last 5 years.
