General Information

The most common types of companies are the private joint-stock company (UAB) and the small enterprise (MB).

Company Name

The name of the company must end with a word or abbreviation indicating its legal form.

Authorized Capital

The minimum amount of authorized capital for a UAB company is 1000 EUR, and it must be paid. There are no requirements for payment of the authorized capital for registration of an MB company in Lithuania.

Director

At least one individual, no residency requirements. The director of a UAB company must be officially employed and receive a salary (in 2024, the amount is 924 EUR before taxes). There are no requirements for the director to be officially employed in MB company.

Shareholders

At least one individual or legal entity, no residency requirements (for UAB). In MB company, only an individual can be a shareholder.

Financial Reporting

All Lithuanian companies are required to keep and submit annually financial statements. In some cases, an audit is required. If the company has a VAT number, it is additionally required to file monthly VAT returns.

Taxation

Corporate tax is 5% for companies with a turnover of up to EUR 300,000 per year. For Lithuanian companies with a turnover of more than EUR 300,000 per year, the corporate income tax is 15%. Dividend tax is 15%, but dividends received from a foreign company registered in an EU member state are not taxed. In a Lithuanian UAB company, dividends can be withdrawn only after paying income tax. In a Lithuanian MV company, dividends can be withdrawn monthly, but the amount should not exceed EUR 100,000 per year.
