Danish legislation allows two types of companies: a limited liability company - Anpartsselskab (ApS) and a joint-stock company- Aktieselskab (AG). Some activities require licensing or special permits.
The company name must end with a word, phrase or abbreviation that indicates the form of the company, such as “ApS” or “AG”, which is a mandatory requirement when starting a business in Denmark.
To register an ApS company, a minimum authorized capital of 40,000 DKK is required, which is equivalent to approximately 5,300 EUR.
At least one individual is required, and there are no residency requirements.
A minimum of one individual or legal entity is sufficient for registration, and there are no restrictions on residency, which allows non-residents to easily become owners of an organization.
All companies are required to submit annual financial statements. Under some conditions, they are required to be audited.
The standard rate of income tax is 22%. Starting from 2024, the corporate tax rate for financial companies will increase from 22% to 26%. Financial companies include banks, credit institutions, investment management companies and insurance companies. The standard VAT rate is 25%.
The state register is open to everyone, providing access to public data on directors, shareholders and the amount of the company's authorized capital.
The optimal form for doing business in Denmark is a limited liability company (ApS). Before registering, you need to submit a request to the company register to check the availability of the name. Once the name is confirmed, the preparation of corporate documents begins.
Each founder of the company is required to provide a copy of his or her passport and a document confirming the address of residence (for example, a utility bill). At this stage, information on the amount of the authorized capital of the ApS company is also provided.
Before registering a Danish company in the register, a shareholders' meeting is held in the presence of a notary, where all the necessary constituent documents are signed.
