It is possible to register a Bulgarian company for a non-resident without a personal visit of the director and shareholder to Bulgaria. It is enough to certify the documents at the Embassy of the Republic of Bulgaria. The most common form of company incorporation in Bulgaria is a limited liability company (LLC).

Company Name

The name of the company must end with a word, phrase or abbreviation that indicates the limited liability of the company.

Authorized Capital

The minimum share capital of a limited liability company is BGN 2. Before the company registration, the share capital must be fully paid (deposited into the company's account in a local bank).

Director

At least one individual, no residency requirements. It is recommended a resident director in order to open a corporate account with a Bulgarian bank.

Shareholders

At least one individual or legal entity, no residency requirements. It is recommended a resident shareholder in order to open a corporate account in a Bulgarian bank.

Financial Reporting

Having registered a company in Bulgaria, the company must keep accounting records and submit a financial report annually. Financial statements are submitted even if the business has not conducted any activity. In some cases, for example, when a Bulgarian company has a turnover of 2,500,000 BGN per year, it is additionally necessary to undergo an audit.

Taxation

The income tax of the Bulgarian company is 10% and is charged for the reporting financial period (12 calendar months). The VAT rate is 20%. In addition, a preferential VAT rate of 0% is provided for export and other types of operations in accordance with international agreements. Having opened a business in Bulgaria, you can get a VAT number immediately after registration. Dividend tax is 5% on dividends received by a Bulgarian company from its subsidiaries. Tax on dividends transferred by a Bulgarian company to its owners - 5% or 10%.

Identification of company participants

Registration of a company in Bulgaria can be done remotely or with a personal visit of the director and founders to Bulgaria. If, after the registration of a Bulgarian company for a Bulgarian resident, the Bulgarian company is re-registered for a non-resident, the director and shareholder can certify the documents at the Embassy of the Republic of Bulgaria, after which the original documents are sent to Bulgaria for registration actions.
