The company name must end with a word or abbreviation denoting limited liability, such as "Limited," "Ltd.," "Corporation," or "Corp."

Authorized Capital

No minimum share capital is prescribed. Typically, the share capital of a Belize offshore company is set at 50,000 USD, with no requirement that it actually be paid in.

Director

At least one member is required, who may be either an individual or a legal entity, with no residency restrictions. The use of a nominee director is also permitted.

Shareholders

At least one member is required, who may be either an individual or a legal entity, with no residency requirements. The use of a nominee shareholder is permitted.

Financial Reporting

All entities registered in Belize are required to file two types of reports:

  1. An Economic Substance Report (a report on economic substance) and a Tax Return.
  2. The Economic Substance Report is filed in a specific form (A, B, C, D) depending on the company's activity.
  3. In addition to the activity classification, it also takes into account whether the company earned income during the reporting period and whether the company holds tax residency outside Belize (other than in jurisdictions on the EU blacklist). The Tax Return includes filing financial statements together with the tax declaration.

Taxation

  • Belize has moved to a territorial tax system: income earned outside the country is exempt from tax, provided the company's tax residency in another jurisdiction (not on the EU blacklist) is confirmed and an annual declaration with a TIN is filed.
  • Income earned within Belize itself is subject to Business Tax at rates ranging from 1.75% to 25%, depending on the type of activity.

Confidentiality

Information about the company's beneficial owner remains confidential and is held by the registered agent in Belize.
